The essentials

These terms, and the ones that matter more

This website is operated by Sagetor ("we", "us"). By using the site you accept these terms. If you engage us for services, that engagement is governed by a separate written agreement, and that agreement prevails over anything on this website.

Everything here is general information

The content of this website, including the articles in Insights, is general information only. It is not professional advice and should not be relied on as advice. In particular, nothing on this website is legal, taxation, personal financial, investment or medical advice, and nothing here is clinical mental-health care. Where we describe financial literacy sessions, those sessions are general education and are not tailored to anyone's circumstances.

Reading this site does not make you a client

Using this website, or sending an enquiry through it, does not create a client relationship with us. A client relationship begins only when an engagement is agreed in writing.

Liability

To the maximum extent permitted by law, and subject to any rights you have under the Australian Consumer Law or equivalent legislation that cannot be excluded, we exclude liability for loss arising from use of, or reliance on, this website and its content.

Governing law

These terms are governed by the laws of the Australian Capital Territory, Australia, and you submit to the non-exclusive jurisdiction of its courts.

The for-purpose contribution

Sagetor is a for-purpose advisory practice. For consulting engagements that generate a profit, we contribute 10% of the profit attributable to the engagement to a registered charity chosen by the client.

We do this because we want to, not because anyone requires it of us. It is a choice about what the practice is for, and we would rather write it down than talk about it.

The contribution is worked out after the engagement's costs have been finalised. No contribution is due where an engagement breaks even or makes a loss. The calculation, the nominated charity and the timing are recorded in the engagement agreement, which is what creates the commitment for a given piece of work.

Sagetor is a business. It is not a charity, a not-for-profit or a deductible gift recipient, and does not hold itself out as any of those. The contribution comes out of our own profit, so it is not a donation by the client, the client receives no tax deduction or other tax benefit for it, and nothing here is taxation advice.

How the profit is calculated, in full

We do not use the term "net profit", because it means different things in different accounting contexts. Instead, profit attributable to the engagement means A less B.

A is the fees we actually receive for the engagement, excluding GST, after deducting any refund, credit, discount, write-off or amount that proves uncollectable.

B is what the engagement costs us to deliver:

  • amounts payable to consultants, subcontractors, specialists or other third parties engaged on it;
  • the cost of time spent on it by the Principals and by anyone else we engage, at our internal cost rate;
  • travel, accommodation and disbursements incurred for it;
  • software, data, licences or subscriptions, to the extent the engagement consumes them;
  • fees, levies and transaction charges incurred in receiving payment for it; and
  • a fair share of our general overheads for the period, apportioned on a basis recorded at the time.

Where a cost is partly for the engagement and partly for something else, only the portion reasonably attributable to the engagement goes into B, on a basis recorded at the time.

If A less B is zero or negative, the engagement has not generated a profit for the purposes of this commitment and nothing is due. Otherwise the contribution is 10% of A less B.

The internal cost rate reflects what the work costs us. We do not inflate it, because inflating it would defeat the point of doing this at all. The rate and the overhead apportionment basis are recorded, and we give the client the calculation and evidence that the contribution was made.

Choosing the charity, and why nobody profits from the choice

The client nominates a charity registered with the Australian Charities and Not-for-profits Commission, or an equivalent regulator in the client's jurisdiction.

The charity has to be at arm's length from both of us. Neither Sagetor, its Principals, nor anyone connected with them may hold office, employment, a paid position or a material financial interest in the nominated charity. The same applies to the client, its personnel and anyone connected with them. If a nomination would give a personal benefit to anyone involved in the engagement, we decline it and ask for an alternative. Where a client has its own gifts and benefits policy, the nomination follows that policy and we provide whatever record the client needs.

Where a client does not nominate a charity, our standing nomination applies and the contribution is shared between MS Australia and Beyond Blue. We chose those two because of a personal interest in the work they do, including lived experience of what they address. Neither Principal holds office, employment, a paid position or any financial interest in either organisation. Neither organisation has any role in our engagements, and neither has endorsed Sagetor or this commitment.

We may decline a nomination where the organisation is not a registered charity, or where contributing would put us in conflict with a legal or professional obligation.

Accuracy, intellectual property and links

Accuracy. We take care to keep this website accurate and current, but we do not warrant that it is complete or free of error, and we may change it at any time without notice.

Intellectual property. Unless otherwise indicated, the content, design and branding of this website are ours. You may view, download and print content for your own use, and quote brief excerpts with attribution. Reproduction for commercial purposes needs our written permission.

Links to other sites. Where we link to a third-party site we do so for convenience. We do not control it and are not responsible for its content or its privacy practices.

Changes to these terms. We may update these terms. Changes take effect when they are posted here, and the date at the top of this page tells you when that last happened.

If part of these terms does not hold. If any part of these terms is found to be unenforceable, the rest continues to apply.
